Advisors’ Opinion:

InterActiveCorp (IACI) bought Ask.com for $1.85 billion in 2005. The new Perion will be worth only about 40% of that. After the merger, Perion will leapfrog its much larger rivals: Babylon and AVG (AVG). Finally, Perion should be able to increase its operating margins as it can spread its SG&A costs over a much larger base (Conduit EBITDA margin is 32% vs. Perion’s 23%). Perion will keep its senior management team intact: Josef Mandelbaum will remain its CEO and Yacov Kaufman its CFO. Perion has successfully orchestrated a roll-up acquisitions of privately-held Sweetpacks and Smilebox, so I have high confidence that they know how to integrate a new business.

Marathon Oildropped 8.7% to $14.87, while the S&P 500 fell 0.2% to 2,362.98, as Front Month Nymex Crude futures for April delivery slid 5.4% to $50.28., leading some to wonder if the price oil could drop below $50 a barrel.

It wasn’t just Marathon that got clipped as the eight worst-performing stocks in the S&P 500 came from the energy sector, including Murphy Oil (MUR), which fell 6.7% to $25.87, Devon Energy (DVN), which slid 6.5% to $40.72, and Chesapeake Energy (CHK), which stumbled 6.1% to $4.94. No surprise, then, that the Energy Select Sector SPDR ETF (XLE) slumped 2.6% to $69.65.

The oil rout began after the U.S. Energy Information Administration reported that U.S. oil inventories rose by 8.2 million barrels to reach $518.4 million, a record level.

BeforeBayer(NASDAQOTH: BAYRY)arrived onto the scene, I viewedMonsanto(NYSE: MON)as an intriguing growth stock. It has a rich history of delivering value to shareholders and continues to hold a dominant technological edge over key competitors in crop protection products, seeds, and traits. While little has changed its promising pipeline and portfolio, the pending acquisition throws a wrench in anyone’s plans to start or add to a position. Uncertainty stemming from the merger provides several terrible reasons to buy Monsanto at this time.

A few years ago, Delta Air Lines (NYSE:DAL) introduced a new class of cheaper “basic economy” fares to help it compete with ultra-low cost carriers on certain routes. Last year, American Airlines (NASDAQ:AAL) and United Continental (NYSE:UAL) confirmed that they would introduce their own basic economy fares to stay competitive.

American Airlines (AAL) soared to the top of the S&P 500 today.

The shares climbed $1.61, or 3.8%, to $43.93, compared to the S&P 500, which fell 3.38 points, or 0.14%, to 2353.78.

Investors cheered American Airlines increased first-quarter unit revenue and margin guidance.

The airline said it expects first-quarter total revenue per available seat mile to be up between 2% and 4% year over year, compared to previous guidance for a 1.5% to 3.5% increase. It expects adjusted pre-tax margins to be between 4% and 6%, compared to previous guidance of 3% to 5%.

For the month of March, it said that revenue passenger miles and available seat miles were down.

Fellow airline United Continental(UAL) also released March metrics today, although it down on the backlash to a video showing apassenger being dragged off a plane.

Shares of American Airlines (AAL) are soaring today after Stifel named the stock to Stifel Select List. But it’s the reason for Stifel’s optimism, more than the addition itself, that is eye catching.

    Agence France-Presse/Getty Images

See, American Airlines has been under pressure this year–its dropped 11% so far in 2017–on fears that increased capacity would reduce its profitability. The same fears have also dented United Continental Holdings (UAL) and Delta Air Lines (DAL).

Stifel’s Joseph DeNardi and Matthew Rachal, however, argue that the increased capacity at American Airlines doesn’t matter thanks to a revenue stream that the market has ignored: The revenue from its frequent flier program. They explain why:

The consensus price target on American, excluding us at $95, of $54 reflects a fundamental misunderstanding of the source of American’s earnings, in our view. Within American is an operating segment that accounts for ~50% of EBIT, is growing revenue at ~10% per year with a 65%-70% operating margin with very low capital requirements and very high barriers to entry. We know it exists. American Airlines knows it exists. But the vast majority of the investment community does not or, at this point, is skeptical that it does. We attribute this to a lack of information supplied by the companies for investors to properly assess the size and profitability of airline loyalty programs. We are confident that this will change in the near-to-mid term as disclosures begin to improve over the next several months followed by the reporting of the business as its own operating segment in 12-18 months.

How big a deal could this be? DeNardi and Rachal argue that the AAdvantage program could generate about $2.7 billion in 2018, greater than the $2.5 billion in pre-tax earnings implied by the consensus estimate of $3.50 a share in 2018. They call it “an earnings stream immune from incremental capac

Top 10 Warren Buffett Stocks To Buy Right Now: Galapagos NV(GLPG)

Advisors’ Opinion:

  • [By David Zeiler]

Bill Patalon’s initial stock pick was Galapagos NV (Nasdaq ADR: GLPG), a Belgian biotech company.

Patalon was attracted to Galapagos’ strategy to target “orphan diseases,” afflictions that strike rarely and so often go ignored by the Big Pharma companies. He also liked that Galapagos had more than 50 drug discovery programs underway, and that it already had licensing agreements with several bigger players in the industry.

  • [By Stephen Mack]

Galapagos NV (Nasdaq: GLPG) is our big winner so far, gaining 578.8% since Money Morning Executive Editor Bill Patalon shared his recommendation with Money Morning readers in April 2012. The S&P 500 has gained 75.4% in the same time. Bill has renewed his recommendation for the Belgian biotech several times over the years, saying in 2016 that it has “an established history of piling on gains.” With an average gain of 110% a year, it’s hard to argue with that.

Top 10 Warren Buffett Stocks To Buy Right Now: Cerner Corporation(CERN)

Advisors’ Opinion:

Cerner (CERN) tumbled to the bottom of the S&P 500 today after meetings earnings forecasts but offering below-consensus guidance.

    Agence France-Presse/Getty Images

    Cerner dropped 4.4% to $51.50 today, while the S&P 500 rose 0.4% to 2,316.10.

SunTrust Robinson Humphrey’s Sandy Draper and team contend that “most of the bad news is already priced in.” They explain:

Although we expect this news to weigh on the stock…we think the market has remained cautious on CERN shares heading into the 4Q16 print given the uneven execution throughout 2016 and the post-election regulatory uncertainty that has broadly weighed on the HCIT space as a whole. We observe that CERN shares closed about 3% below the level they traded at this time last year, while the S&P was up over 21% in that time. The muted 12-month performance in the stock suggests the market rightly anticipated unattractive year-end results and 2017 guidance, which suggests to us that downside to CERN shares should be limited.

Cerner’s market capitalization fell to $17.5 billion today from $18.3 billion yesterday.

Barron’s Vito Racanelli recommended shares of Cerner on March 16, 2016, when the stock traded at $51.46.

Cerner (CERN) soared to the top of the S&P 500 today after thehealth care information technology company reported better-than-expected earnings and revenue.

    Cernergained 7.8% to $64.75 at 5:03 p.m. today, while the S&P 500 declined 0.2% to 2,384.20.

Canaccord Genuity’s Richard Close and Brian Hoffman contend Cerner may be “rediscovered its mojo.” They explain:

We reiterate our BUY rating and raise our PT to $66 (was $59) as the company finally
appears to have provided quarterly and annual targets that it can meet. Possibly more important, analyst expectations sit near the mid-point of guidance, portending upside potential. The outlook appears solid as the company (1) rebuilds a track record of delivering on expectations, (2) reaffirmed confidence in 2017 bookings growth, and (3) has a strengthened pipeline for ITWorks and revenue cycle. CERN may have rediscovered its mojo.

Cerner’s market capitalization rose to $21.4 billion today from $19.8 billion yesterday.

Advisors’ Opinion:

  • [By Igor Novgorodtsev]

Today,Coherus BioSciences (CHRS) lost a patent case with AbbVie (ABBV) that would have allowed for a generic version of Humira. Citigroup’s Andrew Baum and Peter Verdult have the details:

    Agence France-Presse/Getty Images

The Patent Trial and Appeal Boardjust announced that CHRSs IPR on the 166 Humira formulation patent was not instituted. We remind investors that Amgens IPR on the same 157 and 158 formulation patents were also not instituted. Any at risk launch on a formulation that potentially infringes 166, 157 or 158 would seem unlikely and carries a high risk thatAbbVie would attain a preliminary injunction. It is not clear whether either company could attempt launch with a formulation that does not infringe the patent estate. We note that Sandoz has uniquely not filed any IPR on any biosimilars. Sandoz has not announced the FDA has accepted their filing for their biosimilar adalimumab…We anticipate that the perceived historic relationship of the immunogenicity of Humira as it relates to dose stretching will form a key debate in the ongoing PTAB case…

Following the decision of the PTAB not to institute CHRS IPR on the 166 Humira formulation patent, we continue to anticipate that first likely launch of biosimilar adalimumab (Humira) in the US will be delayed until 2020, in line with our published forecasts and biosimilar model. We anticipate the open IPR hearings for the 135 dosing patent on Humira (filed by Boehringer and Coherus) to begin in Feb 2017 with the ruling in May. We rateAbbVie a Buy. We continue to prefer BUY rated Bristol-Myers Squibb (BMY), Eli Lilly (LLY) among the US names.

Shares of AbbVie have climbed 5.6% to $59.18 at 3:05 p.m. today, while Coherus BioSciences has tumbled 11% to $25.18,Bristol-Myers Squibb has gained 3% to $52.56, andEli Lilly has risen 1.7% to $73.70.

Chambers CEO: Already Working With Trump to Kill DOL Fiduciary Rule

Why Jack Bogle Prefers Index Funds to Index ETFs

In a webcast presentation Tuesday to investors, DoubleLine Capital head Jeffrey Gundlach said a 3% rise in 10-Year Treasury yields next year could be very negative for equities and other investments.

“We’re getting to the point where further rises in Treasuries, certainly above 3%, would start to have a real impact on market liquidity in corporate bonds and junk bonds,” he explained. “Also, a 10-year Treasury above 3% in my view starts to bring into question some of the aspects of the stock market and of the housing market in particular.”

Debt Drag

Such aggressive spending, which Trump campaigned on, Gundlach said, could “lead to another leg up on debt, which is not friendly for bonds.”

Top 10 Bank Stocks For 2017: Terex Corporation(TEX)

Advisors’ Opinion:

  • [By Ben Levisohn]

Yesterday, Terex (TEX) announced that it would sell its ports business to Konecranes for $1.3 billion. Today, Baird’s Mircea Dobre and Joseph Grabowski upgraded Terex to Outperform from Neutral, arguing that the sale makes a takeover by China’s Zoomlion that much easier. They explain:

    Balint Porneczi/Bloomberg News

The sale of MHPS to Konecranes is a positive catalyst on multiple fronts: shareholders got an attractive multiple for what historically has been a challenged business with further upside possible given 25% equity ownership in Konecranes, execution risk is diminished as new CEO can focus on operational improvement without the effort required to integrate the Terex and Konecranes businesses, and finally, the MHPS sale makes it easier for Zoomlion to acquire remaining Terex.

While our upgrade is not reliant on Zoomlion acquiring Terex, the MHPS transaction could make a firm Zoomlion offer more likely.

At the margin, a Zoomlion deal appears easier to get done: 1) the remaining businesses fit better with Zoomlions existing product portfolio of construction equipment, cranes, and various commercial and municipal equipment, 2) given the attractive terms of the MHPS sale, the funding hurdle required to acquire Terex is lowered, 3) many of the CFIUS issues center around national security concerns regarding the nations ports, no longer a concern given MHPS sale.

Dobre and Grabowski also raised their price target on Terex to $30, up from $24. With Terex off 0.1% at $24.88 today, that leaves 21% upside in the stock to Baird’s target.

In February, I wrote about Chinese demand for U.S. companies, including Terex.

  • [By Ben Levisohn]

RBC’sSeth Weber and team offer their thoughts on Zoomlion’s revised bid for Terex (TEX):

    Bloomberg News

After the close today, Terex announced that it is moving forward in its negotiations with Zoomlion Heavy Industry Science and Technology Co. following receipt of a non-binding proposal from the Chinese company to acquire all outstanding shares for $31/share in cash.

  • [By Ben Levisohn]

Shares of Terex (TEX) had surged 32% as of the close of trading last Thursday–but dropped 14% the next day after China’s Zoomlion announced that it wouldn’t be pursuing a purchase of the U.S. crane maker after all. In the aftermath of the scuttled deal, Morgan Stanley’s Mili Pothiwala and Nigel Coe cut Terex to Equal Weight from Overweight:

    Balint Porneczi/Bloomberg News

On Friday morning, Zoomlion announced it had terminated its bid for its proposed acquisition of Terex for $31/ share. This was a clear negative for Terex shares, which traded down ~15% on Friday to $20, given the absence of an event-driven catalyst (following the sale of MHPS to Konecranes, which we assume will be completed). However, we think that the stock’s current discount to the Machinery group on a P/E basis (20%+) is justified, given a still challenged underlying operating environment for the RemainCo, as well as historically uneven company execution – both of which return to the forefront of the investment debate following the removal of the M&A bull case.

To which all we can say is: Oops.

Shares of Terex have dropped 0.5% to $20.78

  • [By Ben Levisohn]

Third and a trigger for the change: China becomes an active bidder in the space. Chinas Zoomlion bid for Terex (TEX) ($3.3B) along with Haier/General Electric (GE) ($5.4B) and several ChemChina proposed deals in industrials changes the upside/downside skew, particularly on lower quality/more challenged names. The Terex bid does not appear to be one-off. Chinese outbound M&A announcements rose to record highs in 15; to $112B (up 57% from 2014) in total acquisitions. Industrials formed a large and rising portion, at ~12B completed. Thats roughly equal to the 3 prior years industrials deals combined, and is the highest on record. Energy and materials accounted for ~15% of 15 spend vs. ~83% in 2011. Even lower quality or more currently challenged machinery franchises have distribution which could be highly attractive to new entrants…

top ten stocks to buy

Wednesday was yet another record-setting day for the stock market, as the Dow climbed triple digits and the S&P 500 and Nasdaq Composite followed the venerable average to unprecedented heights. Economic data showing rising inflation made it more likely that the Federal Reserve will look to boost interest rates at its next Federal Open Market Committee meeting next month, and the ripples throughout the bond market sent many investors to consider stocks instead. Yet despite the substantial rally, some stocks missed out on the move higher, and American International Group (NYSE:AIG), Teck Resources (NYSE:TECK), and Movado Group (NYSE:MOV) were among the worst performers on the day. Below, we’ll look more closely at these stocks to tell you why they did so poorly.

AIG deals with losses

Shares of American International Group fell 9% after the company reported fourth-quarter financial results. The insurance giant posted a net loss of $3.04 billion for the quarter, working out to $2.96 per share, as substantial losses in its commercial insurance lines hurt the company’s overall performance. AIG has worked hard to transform its insurance business, entering into a reinsurance agreement with National Indemnity Company to reduce the risk of its own positions. Yet even though the personal lines business was profitable for the quarter, AIG still has to wrestle with the challenge of protecting itself from adverse reserve development in the future. Cost-cutting measures will help boost AIG’s bottom line in time, but they won’t insulate the company from volatility in its results depending on how catastrophic events pan out in the future.
